End User Licence Agreement (EULA)
EFFECTIVE DATE: 28.05.2026
1. Definitions
In this End User Licence Agreement, the following terms have the meanings set out below:
- “Licensor” means Barbershop InGlobal Group Sp. z o.o. (trading as GroomKit Pro), a company registered in Poland under KRS 0000791542, with registered office at ul. Franciszka Klimczaka 6A lok. U3, 02-797 Warszawa, Poland.
- “Product” means any digital item purchased from groomkit.pro, including but not limited to templates, online courses, spreadsheet calculators, and knowledge systems, together with all associated files, documentation, and updates provided by the Licensor.
- “Licensee” means the individual natural person, or legal entity (company, partnership, or other organisation), that has completed a purchase of the Product from groomkit.pro and whose details are associated with the purchase transaction.
- “Establishment” means a single discrete business, brand, project, or domain that is owned and operated by the Licensee. A Licensee who operates multiple businesses, brands, or projects under different trading names or domains operates multiple Establishments.
- “Licence” means the limited right to use the Product granted under this EULA upon purchase.
2. Grant of Licence
Subject to payment of the applicable purchase price and your compliance with all terms of this EULA, the Licensor hereby grants you a:
- Personal — for use by the Licensee only;
- Non-exclusive — the Licensor may licence the same Product to other customers;
- Non-transferable — you may not transfer the Licence to any other person or entity;
- Non-sublicensable — you may not grant sub-licences to any third party;
- Worldwide — you may use the Product in any country;
- Perpetual — the Licence does not expire for the duration of your compliance with this EULA;
right and licence to use the Product solely within the scope defined in Sections 3, 4, and 5 of this EULA.
This Licence is irrevocable except in the event of a material breach of this EULA by the Licensee (see Section 9).
3. Single-User Scope
The Licence is granted to the Licensee as a single user. Specifically:
- If the Licensee is an individual natural person, only that individual may access and use the Product.
- If the Licensee is a company or other legal entity, the Licence permits use by one (1) designated employee or representative of that entity. If additional employees require access to or use of the Product, each must purchase a separate Licence.
- The sharing of login credentials, download links, or Product files between multiple individuals — even within the same company — is expressly prohibited unless each such individual holds a separately purchased Licence.
4. Single-Establishment Scope
The Licence permits use of the Product within one (1) Establishment only — that is, a single business, brand, project, or domain owned and operated by the Licensee. Use of a single Product licence across multiple Establishments is expressly prohibited, regardless of whether those Establishments are owned by the same individual or entity.
4.1. Examples of Prohibited Multi-Establishment Use

| A Licensee using one licence for their own single brand/project. | YES — this is within the permitted scope. |
5. Permitted Uses
Subject to all other restrictions in this EULA, the Licensee may:
- Use the Product for the Licensee’s own personal projects.
- Use the Product within the Licensee’s own single business or brand operated under one Establishment.
- Modify or customise the Product for use within the permitted single-user, single-establishment scope.
- Print physical copies of digital templates or reference materials for internal use within the permitted single Establishment, provided such copies are not distributed externally.
6. Prohibited Uses
| These prohibitions are strictly enforced. Breach of any of the following constitutes an automatic termination of the Licence under Section 9. |
The following acts are expressly and absolutely prohibited:
- Reselling, redistributing, or otherwise commercialising the Product or any part thereof, whether in its original form or as a derivative work.
- Sublicensing or otherwise granting any third party rights to use the Product.
- Sharing download links, access credentials, or Product files with any person who is not the Licensee.
- Using the Product across multiple clients, projects, brands, or Establishments (see Section 4).
- Creating derivative products (modified or adapted versions of the Product) for sale, distribution, or public release.
- Removing, altering, concealing, or circumventing any copyright notice, attribution notice, watermark, or digital rights management mechanism contained within or associated with the Product.
- Using the Product, or any part thereof, as training data, fine-tuning data, evaluation data, or input for the development, improvement, or testing of artificial intelligence, machine learning, or automated decision-making models or systems.
- Uploading the Product to any file-sharing platform, torrent network, public repository, or any other medium that would make it accessible to third parties.
- Transferring, assigning, or otherwise conveying the Licence or any rights thereunder to any other person or entity, whether for consideration or free of charge.
- Claiming authorship, original creation, or ownership of the Product or any substantial portion thereof.
- Using the Product in a manner that violates any applicable law, regulation, or third-party rights.
7. Intellectual Property & Ownership
All intellectual property rights in the Product, including but not limited to copyright, design rights, database rights, and know-how, are and shall remain exclusively owned by the Licensor. This EULA grants a limited licence to use the Product; it does not constitute a transfer, assignment, or sale of any intellectual property rights.
The Licensee retains ownership of all original content, data, or materials created by the Licensee and inserted into or combined with the Product (“Licensee Content”), provided such use falls within the permitted scope of this Licence. The Licensee grants the Licensor no rights in Licensee Content.
8. Modification Rights
The Licensee may modify, adapt, or customise the Product for use within the permitted single-user, single-establishment scope defined in Sections 3 and 4. Any modified or adapted version of the Product remains subject to all restrictions and prohibitions set out in this EULA. The Licensee may not distribute, share, sell, or publish modified versions of the Product in any form.
9. Licence Termination
This Licence terminates automatically and without notice upon any material breach of this EULA by the Licensee. Material breaches include, without limitation, any violation of Section 6 (Prohibited Uses).
Upon termination: (a) all rights granted under this Licence cease immediately; (b) the Licensee must promptly destroy all copies of the Product in their possession or control, including any backups, derivatives, or modified versions; and (c) the Licensee must confirm such destruction in writing to legal@groomkit.pro upon request.
Termination of the Licence does not affect any other remedies available to the Licensor under applicable law, including claims for damages.
The following sections survive termination of this Licence: Section 6 (Prohibited Uses), Section 7 (Intellectual Property), Section 10 (Warranty Disclaimer), Section 11 (Limitation of Liability), and Section 12 (Governing Law).
10. Warranty Disclaimer
The Product is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, the Licensor makes no warranties, express or implied, including but not limited to: (a) implied warranties of merchantability or fitness for a particular purpose; (b) any warranty that the Product will meet the Licensee’s specific requirements or business objectives; or (c) any warranty that the Product will remain compatible with software applications or versions released after the product’s publication date.
Nothing in this Section excludes or limits any statutory rights the Licensee may have as a consumer under applicable EU or Polish law.
11. Limitation of Liability
To the fullest extent permitted by applicable law, the Licensor’s total aggregate liability to the Licensee under or in connection with this EULA shall not exceed the total purchase price paid by the Licensee for the specific Product giving rise to the claim.
The Licensor shall not be liable for: (a) any indirect, incidental, special, or consequential loss or damage; (b) loss of profit, revenue, business, or goodwill; (c) loss or corruption of data; or (d) any business interruption, arising from or in connection with the use or inability to use the Product, even if the Licensor was advised of the possibility of such loss.
Nothing in this Section excludes or limits the Licensor’s liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.
12. Governing Law
This EULA is governed by and construed in accordance with the laws of the Republic of Poland. EU law applies where mandatorily applicable. Any disputes arising under or in connection with this EULA shall be subject to the dispute resolution procedure set out in the Terms of Service (Document 1, Section 16).
13. Entire Agreement
This EULA, together with the Terms of Service (Document 1), constitutes the entire agreement between the Licensor and the Licensee with respect to the Product and the Licence granted herein, and supersedes all prior representations, warranties, discussions, and agreements between the parties relating to the subject matter hereof.
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
